
STEVEN A. BERGER
Mr. Berger attended the University of Miami (B.B.A.) and Brooklyn
Law School (J.D.), where he was the Associate Editor of The Brooklyn
Law Review (1967-68). He was admitted to the New York bar in
1969; the U.S. District Court, Southern District of New York, in
1972; the U.S. District Court, Eastern District of New York, in
1980; the U.S. Court of Appeals for the Third Circuit in 1979; the
District of Columbia Circuit in 1983; and the Second Circuit in
1990. From 1968 to 1970, Mr. Berger was a law clerk to the Hon.
John F. Scileppi of the New York Court of Appeals.
Mr. Berger's practice is general commercial litigation. From 1970
to 1980, Mr. Berger was affiliated with the New York law firm Winthrop,
Stimson, Putnam & Roberts, where he represented a wide range
of commercial, banking, and utility clients. In 1980, he co-founded
Berger, Steingut, Weiner, Fox & Stern, as a spin-off of Winthrop,
Stimson and Weil, Gotshal & Manges. Mr. Berger was the managing
partner of that firm and its successors.
Today, Mr. Berger is well known for his expertise in what he has
coined as "non-matrimonial divorce" matters, i.e., the
ever-expanding area of corporate and partnership break-ups, which
often involves the protection of minority stockholder interests
in restructuring and buy-out scenarios. Mr. Berger receives a substantial
and steady flow of client referrals from large law firms with actual
or potential conflicts of interest. These clients include Wall Street
and corporate executives, accountants, lawyers and various other
business people in need of behind-the-scenes advice regarding sensitive
issues or affirmative representation in negotiating the terms of
employment or separation agreements, as well as employees who have
experienced potential age, gender and other forms of discrimination.
Mr. Berger also represents high-level corporate officers and directors
in connection with Sarbanes-Oxley issues.
Mr. Berger also has extensive experience in various other areas
of the law, including legal and accounting malpractice actions,
proxy fight litigation, and general commercial litigation, which
often includes seeking or opposing preliminary injunctions.
During the course of his career, Mr. Berger has successfully conducted
dozens of trials in various forums throughout the United States.
In New York City in particular, Mr. Berger is a well-respected trial
lawyer known for his zealous representation of his clients.
In addition to his expertise in representing clients for more than
30 years, Mr. Berger has served as a party arbitrator on a number
of occasions and has served as an arbitrator in an international
arbitration conducted by the American Arbitration Association.
